1. The agreement
The agreement starts when you accept the terms, at signup or in admin. It applies per facility. If your business has several facilities in Denira, the terms apply to each of them.
Denira is a service for businesses. The person who accepts the terms confirms that they are authorised to act for the business.
2. The service
Denira is a booking system for experience and tourism businesses. The service includes a booking page and booking widget, calendar and manifest, payments through Stripe, invoices that Denira sends in your name, email and text messages to your customers and, as an add-on, Hemsida (website).
We keep developing Denira and may change or remove features. If we remove a feature you pay for separately, we tell you at least 30 days in advance.
3. Users and sign-in
You decide who has access to the facility and which role they have. What your users do in Denira counts as done by you. Keep sign-in details secret and remove people who should no longer have access.
4. Your customers and bookings
You sell your experiences directly to your customers. Denira is not a party to the sale. You are responsible for prices, VAT, terms of sale, cancellation rules, refunds and for delivering the experience.
5. Plans and fees
You choose your plan in admin. All prices exclude VAT.
- Start: SEK 0 per month and 2.5% of every paid booking. No binding period.
- Pro: SEK 790 per month and 1% of every paid booking. Binding period 3 months.
- Premium: SEK 1,990 per month and 0.5% of every paid booking. Binding period 12 months.
- Hemsida (website): SEK 500 per month, as an add-on to any plan.
- Uppstartshjälp (setup help): SEK 2,000 once, when you order it and it is not free of charge.
The percentage fee applies to every paid booking, however the customer pays: card, Swish, payment link, invoice or payment on site. Stripe's own fees for card and Swish come on top and are charged by Stripe. If you have your own agreement with Denira on the percentage fee, it applies instead of the plan's percentage.
You switch plans in admin. A more expensive plan applies from the 1st of the next month. A cheaper plan applies at the earliest when the binding period of the current plan has ended. You can switch once per calendar month. The binding period runs from the day the plan takes effect.
We announce price changes at least 30 days before they apply. You can terminate the agreement so that it ends before the change applies, also during a binding period.
6. How you pay Denira
On card and Swish payments, Stripe deducts Denira's fee directly from the payment. Other fees, the monthly fee, Hemsida and Uppstartshjälp are charged monthly to the card you saved in admin. We send a notice a few days before the card is charged.
If you refund a card payment through Denira, we refund the corresponding part of the fee.
If a charge fails, we try again and let you know. If fees are still unpaid when the grace period has ended, Denira may switch off invoice and pay-on-site payment for new bookings until they are paid. Card and Swish payments keep working.
7. Recording payments
The facility must record in Denira the payments it receives outside Denira, for example bank payments of invoices and payments on site, so that the platform fee can be calculated. If payments are repeatedly left unrecorded, Denira contacts the facility. If this is not put right after the contact, Denira may switch off invoice and pay-on-site payment for new bookings until the payments are recorded. Bookings already made are not affected.
8. Stripe
Card and Swish payments go through Stripe Connect. When you connect Stripe, you enter into your own agreement with Stripe, and Stripe's terms apply to your Stripe account. Stripe decides on matters such as verification, payouts and restrictions. Denira is not responsible for Stripe's decisions.
9. Invoices in your name
If you use invoicing, Denira sends invoices in your name, with your invoice number and your payment details. You are responsible for the details in the invoice settings being correct, for bookkeeping and VAT, and for recording payments that arrive in your bank account.
10. Your content and Hemsida
Text, images and other content you add to Denira are yours. You give Denira the right to store, process and display the content to deliver the service. You are responsible for having the right to use the content.
Read through text and images that Denira's AI features suggest before you publish them. You are responsible for what is published on your website and booking page. We may remove content that is illegal or breaks these terms.
11. Acceptable use
You may not use Denira to:
- sell or market anything illegal,
- send marketing to recipients who have not consented or who are not your customers,
- try to access other facilities' data or Denira's systems outside the service,
- load the service in a way that disrupts other facilities.
12. Operation and support
We work to keep Denira running around the clock, but we cannot promise the service will never be interrupted. We do planned maintenance when it disrupts as little as possible. Support is available at support@denira.io on weekdays.
13. Personal data
For your customers' personal data, you are the controller and Denira is the processor. The appendix describes how we process it. For data about you and your users, such as sign-in and contact details, Denira is the controller under our privacy policy.
14. Liability
Denira is not liable for indirect damage, such as lost profit, lost bookings or damage suffered by your customers. Denira's total liability in any twelve-month period is limited to the fees you paid Denira in the same period. These limits do not apply to intent or gross negligence.
15. Term and termination
The agreement runs until further notice. You can terminate it at any time by writing to support@denira.io. The agreement ends at the end of the month in which we receive the notice. If your plan has a binding period, you pay the monthly fee until the binding period ends. Fees for bookings paid before the end are paid as usual.
Denira can terminate the agreement with 30 days' notice. We can terminate it immediately if you materially breach the terms, for example if fees remain unpaid after a reminder or the service is used for something illegal.
For 30 days after the end, you can request an export of your bookings and customer data. After that we delete the data, except what we must keep by law, such as accounting records and issued invoices.
16. Changes to the terms
We announce changes to the terms at least 30 days before they apply. Changes that affect you in substance are accepted in admin. If you do not accept the new terms, you can terminate the agreement so that it ends before they apply.
17. Force majeure
Neither party is liable for delays or failures caused by something beyond its reasonable control, such as power cuts, a supplier outage, a decision by an authority or a natural disaster.
18. Law and disputes
Swedish law applies. Disputes the parties do not settle themselves are decided by a general court in Sweden.
Appendix: Data processing agreement
This appendix applies when Denira processes personal data on your behalf. You are the controller and Denira is the processor under Article 28 of the General Data Protection Regulation (GDPR).
A. What data and why
Denira processes data about your customers, participants, contact persons at your business customers and visitors to your website. This covers names, email addresses, phone numbers, bookings, payment status, invoice details, messages and whatever you ask customers to fill in when they book. If you ask for sensitive data, such as allergies or health, you are responsible for having a legal basis for it.
We process the data only to deliver Denira to you, for as long as the agreement runs and for the period in section E.
B. Your instructions
These terms and the settings you make in admin are your instructions to Denira. We do not process the data for our own purposes. If we believe an instruction breaks data protection rules, we tell you.
C. Security and confidentiality
People at Denira who process the data are bound by confidentiality. We protect the data with measures including encrypted connections, access control so that each facility sees only its own data, logging and backups.
If we discover a personal data breach involving your data, we tell you without undue delay and within 48 hours at the latest, so that you can report it to the Swedish Authority for Privacy Protection (IMY) in time.
D. Help for you
We help you respond when a customer wants to see, correct or delete their data, and with impact assessments and prior consultations when you need them. We give you the information you need to show that the agreement is followed, and you may audit it by arrangement.
E. When the agreement ends
When the agreement ends, we delete the personal data after the 30 days in which you can request an export, unless the law requires us to keep it.
F. Sub-processors
You agree that Denira uses the following sub-processors. We have an agreement with each one that gives the same protection as this appendix.
- Convex: database and servers for the service.
- Cloudflare: web hosting and network.
- Resend: email to your customers.
- Twilio: text messages to your customers.
- Sentry: error reports, which may contain personal data.
- OpenAI and Anthropic: the AI features in Hemsida and the assistant, with the content you give them.
- OpenRouter: routes AI requests from Hemsida and the assistant to the AI provider chosen for the request, with the content you give them.
- Firecrawl: reads your existing website when you import it into Hemsida.
We email you at least 30 days before we add or replace a sub-processor. If you have reasonable grounds to object, you can terminate the agreement before the change. Stripe processes payment data as an independent controller under your own agreement with Stripe.
G. Transfers outside the EU and EEA
Some sub-processors process data in the United States. Transfers rely on the European Commission's decision on the EU-US Data Privacy Framework or the European Commission's standard contractual clauses.
